1. Acceptance of Terms

By accessing and using Complinist ("Service"), operated by CompliForged LLC ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Complinist is a local compliance management application (Docker) designed to assist organizations in:

  • Creating and managing network topology diagrams with drag-and-drop functionality
  • Managing device properties, security controls, and hardware/software inventory
  • Generating System Security Plans (SSPs) compliant with NIST SP 800-53 Revision 5
  • Writing and editing control narratives with built-in templates and topology linking
  • Streamlining Risk Management Framework (RMF) and Authorization to Operate (ATO) processes
  • Supporting compliance documentation aligned with NIST 800-53 Rev 5, FedRAMP, and the Risk Management Framework (RMF)
  • Exporting documentation in multiple formats (PDF, PNG, CSV, JSON)

3. User Accounts and Registration

To access certain features of the Service, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree not to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Reverse-engineer, decompile, or disassemble the Service or any part of it
  • Redistribute, sublicense, or make the Service available to third parties without authorization
  • Circumvent, disable, or tamper with license validation or activation mechanisms
  • Share license keys or authentication credentials with unauthorized users
  • Attempt to gain unauthorized access to any part of the Service, our authentication systems, or other accounts

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of CompliForged LLC and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain full ownership of all content you create using the Service, including network diagrams, SSPs, and all compliance documentation. Since Complinist runs locally in Docker, your content is stored only in your container volume—we do not have access to it and claim no rights to it.

6. Third-Party Services and Open Source

The Service includes open source software components, each subject to its own license terms. A list of third-party components and their licenses is available within the application.

The Service relies on the following third-party services, each governed by their own terms of service and privacy policies:

  • Clerk — account authentication and identity management
  • Stripe — payment processing and billing

We are not responsible for the availability, security, or practices of these third-party services.

7. Data and Privacy

Local Application: Complinist runs locally in a Docker container. All your compliance data (network diagrams, SSPs, control narratives, etc.) is stored in a SQLite database inside the Docker volume. We do not have access to this data, and it is never transmitted to our servers.

Account Data: Account authentication is handled by Clerk, and payments are processed by Stripe. We collect only the minimum information necessary to provide you with a license. See our Privacy Policy for details.

You are responsible for maintaining the security of your local data and your account credentials.

8. Compliance and Regulatory Requirements

Complinist is designed to assist with compliance requirements but does not guarantee compliance with any specific regulatory framework. Users are responsible for:

  • Ensuring their use of the Service complies with applicable laws and regulations
  • Validating all compliance documentation generated through the Service
  • Obtaining appropriate approvals and authorizations for their compliance activities
  • Maintaining records and documentation as required by applicable regulations

Compliance Documentation: The Service provides tools to draft control narratives and other compliance content. All output is provided as a starting point for your review and is not legal, regulatory, or compliance advice. You are solely responsible for reviewing, validating, and approving all documentation before use. Generated content does not guarantee compliance with any framework or standard.

9. License and Payment Terms

The lite Docker image includes the full compliance toolkit at no cost (topology, Terraform import, device inventory, PPSM, control narratives, SSP PDF export, and document storage). An optional paid subscription provides email support and license code delivery — it is not required to use any feature in the current build. By subscribing, you agree to:

  • Pay all applicable fees as described on our website
  • Provide accurate billing information to Stripe (our payment processor)
  • Use your subscription for support and account services as described at purchase

License terms and renewal policies are specified at the time of purchase. Refund requests are handled on a case-by-case basis—contact us at cam@complinist.com.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL COMPLIFORGED LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless CompliForged LLC from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) resulting from or arising out of your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed by the laws of the State of Alabama, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
